Affiliate Program Terms

These terms are an agreement between you ("Affiliate", "you") and Mushroom Minder Ltd. ("we", "us") governing your participation in the Mushroom Minder affiliate program (the "Program"). By applying to or participating in the Program you agree to them.

1. Joining the Program

Applications are reviewed manually and may be approved or declined at our discretion. Approval is not guaranteed and we may decline an application without giving a reason. You must have an active Mushroom Minder account to apply.

2. Your referral link and code

On approval we issue you a unique referral code and link. A referral is credited to you when someone signs up for an account after landing on our site or app through your link, within the attribution window shown on the affiliate dashboard. We may change the attribution window or method at any time on reasonable notice.

3. Commission

Your commission rate is set individually when your application is approved and shown in your affiliate dashboard. You earn that percentage of the subscription revenue actually paid by a customer you referred, for as long as their subscription remains active. We do not owe commission on: refunded or charged-back payments, free-plan usage, your own account, or revenue from a customer who was already a paying customer before using your link.

We may change commission rates for future referrals on notice; a rate change does not apply retroactively to a customer already referred by you.

4. Payouts

Payouts are made manually on a rolling basis by a payment method we arrange with you at approval. There is no guaranteed payout schedule. Your dashboard shows your running balance of earned, unpaid commission at all times. We may set a minimum payout threshold.

You are responsible for any tax obligations arising from payments you receive under the Program, including providing any tax forms we are required to collect.

5. Acceptable promotion

You agree not to:

• Bid on our brand or trademark terms in paid search advertising.
• Send unsolicited bulk email ("spam") to promote your link.
• Misrepresent Mushroom Minder, its pricing, or your relationship to us.
• Use your own referral link to create accounts for yourself or to inflate your commission.
• Promote the Program on sites containing unlawful, deceptive, or infringing content.

We may withhold commission earned through activity that violates these terms and may claw back commission already paid on a referral later found to violate them.

6. Independent relationship

You participate in the Program as an independent affiliate, not as our employee, agent, partner or joint venturer. You have no authority to make commitments on our behalf.

7. Termination

Either party may end your participation in the Program at any time, for any reason, on notice. Commission you earned on referrals made in good faith before termination remains payable according to these terms, even after termination, subject to Section 5. Ending your participation stops new referrals from earning commission going forward.

8. Changes to these terms

We may update these terms. If a change is material we will notify affiliates by email at least 30 days before it takes effect. Continuing to participate in the Program after a change takes effect means you accept the updated terms.

9. Disclaimer and liability

The Program is provided "as is". To the fullest extent permitted by law, our total liability arising out of the Program will not exceed the commission actually owed to you at the time a claim arises. These terms are governed by the laws of the State of Colorado, USA.
